These Terms & Conditions govern services provided by Adrian Korban, trading as A1Korbz.

A1Korbz provides specialist Maths content, mathematical diagrams and LaTeX services. By accepting a quotation, commissioning work, paying an invoice or otherwise confirming a project, you agree to these Terms & Conditions.

Please read them before confirming a project.

1. About A1Korbz

A1Korbz is operated by:

Services and materials are provided directly by Adrian Korban unless another arrangement is agreed in writing.

2. Definitions

In these Terms:

  • A1Korbz, I, me and my refer to Adrian Korban trading as A1Korbz.
  • Client, you and your refer to the individual or organisation commissioning the services.
  • Consumer means an individual acting wholly or mainly outside their trade, business, craft or profession.
  • Business Client means a person or organisation commissioning services for purposes connected with a trade, business, profession or organisational activity.
  • Deliverables means the resources, diagrams, documents, source files or other materials A1Korbz agrees to provide.
  • Project Agreement means the accepted quotation, proposal, project brief, email confirmation or other written agreement specifying the project.

3. Services Provided

A1Korbz provides services in three principal areas.

3.1 Custom Maths Teaching and Learning Resources

Services may include:

  • Worksheets and revision resources
  • Assessments, mock examinations and practice papers
  • Mark schemes and worked solutions
  • Lesson presentations and teaching materials
  • Question banks and digital learning content
  • Curriculum-aligned resource collections
  • Content review and quality assurance
  • Platform-ready and white-label educational content
  • Bespoke Maths-content projects

3.2 Specialist Mathematical Diagrams and Graphics

Services may include:

  • TikZ diagrams
  • PGFPlots visualisations
  • Graphs and function diagrams
  • Geometry, mechanics and statistics diagrams
  • Mathematical models and technical illustrations
  • Recreation of sketches or low-resolution images
  • Consistent collections of figures
  • Graphics for print, presentations and digital platforms

3.3 Professional LaTeX Typesetting and Document Production

Services may include:

  • LaTeX typesetting and formatting
  • Word-to-LaTeX conversion
  • LaTeX-to-Word conversion with MathType
  • LaTeX document repair
  • Custom templates
  • Equation, table and figure formatting
  • Bibliography and cross-reference setup
  • TikZ and PGFPlots integration
  • Preparation of professional PDF, Word and source-file deliverables

The exact services, deliverables and formats included in each project will be set out in the Project Agreement.

4. Quotations and Project Agreements

All work is subject to availability and written confirmation.

A quotation or proposal may specify:

  • The scope of work
  • Deliverables
  • Output formats
  • Price
  • Payment schedule
  • Expected timescale
  • Included revisions
  • Licensing and usage rights
  • Client responsibilities
  • Any project-specific conditions

Unless a different period is stated, a quotation remains open for acceptance for 30 days.

A project becomes confirmed when the Client accepts the quotation or proposal in writing and satisfies any stated deposit or advance-payment requirement.

If a Project Agreement conflicts with these Terms, the Project Agreement will take priority only in relation to the specific matter it expressly changes.

A1Korbz may decline a project before acceptance where capacity, timing, subject matter, suitability or another reasonable concern would prevent delivery to the required standard.

5. Client Brief and Responsibilities

The Client is responsible for:

  • Providing a clear and accurate brief
  • Supplying the information, files and guidance reasonably required
  • Identifying the intended audience and use
  • Providing relevant curriculum, publisher, organisational or technical requirements
  • Confirming required formats
  • Responding to reasonable questions
  • Reviewing drafts and proofs promptly
  • Providing consolidated and clear feedback
  • Checking that the final deliverables are suitable for the intended use
  • Obtaining any specialist, regulatory or organisational approval required

A1Korbz is entitled to rely on information and instructions supplied by the Client.

If information is incomplete, inaccurate or delivered late, the price, scope or delivery timetable may need to change.

6. Client-Supplied Materials

The Client retains ownership of materials supplied to A1Korbz.

The Client confirms that they have the necessary rights and permissions to provide those materials and to authorise their use for the project.

Client-supplied materials must not unlawfully infringe copyright, confidentiality, privacy or other third-party rights.

The Client should remove unnecessary personal or sensitive information before sending files. Confidential or particularly sensitive material should be discussed before transmission.

A1Korbz will use supplied materials only as reasonably necessary to assess, manage and complete the project, subject to the Privacy Policy and any separately agreed confidentiality terms.

7. Fees and Payment

Fees will be agreed before work begins.

Depending on the project:

  • Full payment may be required in advance.
  • A deposit may be required before work begins.
  • Larger projects may be invoiced in stages.
  • Organisational clients may be invoiced after delivery or according to an agreed purchase-order process.

The applicable arrangement will be stated in the quotation or invoice.

Payments are made by bank transfer unless another method is agreed.

Invoices must be paid within the period stated on the invoice. If no period is stated, payment is due within 30 days of the invoice date.

The Client is responsible for providing any purchase order or internal approval needed before work begins.

8. Late Payment

If an invoice remains unpaid after its due date, A1Korbz may:

  • Issue a payment reminder
  • Pause active work
  • Withhold undelivered files
  • Delay further revisions
  • Decline additional work until the account is brought up to date

For Business Clients, A1Korbz reserves the right to claim statutory interest and applicable debt-recovery costs under late-payment legislation.

Any action taken in relation to late payment will be reasonable and proportionate.

9. Delivery and Timescales

The expected delivery date or timetable will be stated in the Project Agreement where possible.

A1Korbz will use reasonable care to meet agreed deadlines. The timetable may be affected by:

  • Changes to the brief
  • Additional requests
  • Delayed files or instructions
  • Delayed Client feedback
  • Late payment
  • Technical problems
  • Illness
  • Events outside reasonable control

If a delay becomes likely, A1Korbz will notify the Client and provide an updated timetable where reasonably possible.

Where the Client has stated that a particular deadline is essential, this must be expressly agreed in writing.

Digital delivery may be made by email, download link, cloud-storage link or another agreed method.

10. Review, Revisions and Corrections

The number and type of revisions included will be stated in the Project Agreement.

Unless otherwise agreed:

  • Minor amendments within the original brief may be included.
  • Changes to the brief are not included as revisions.
  • New content, additional versions or substantial restructuring may incur an additional fee.
  • Repeated or conflicting revision requests may require a revised scope.

The Client should review delivered work promptly and report any apparent error or departure from the agreed brief within a reasonable period.

Where A1Korbz has made an error or the deliverables do not conform to the agreed brief, A1Korbz will take reasonable steps to correct the issue without an additional fee.

Nothing in this section limits a Consumer’s statutory rights.

11. Changes to the Project

Either party may propose a change to the project.

A change may affect:

  • The price
  • Deliverables
  • Timescale
  • Number of revisions
  • Required formats
  • Licensing terms

A significant change will not be incorporated until its effect has been agreed in writing.

A1Korbz is not required to undertake work outside the agreed scope without an additional agreement.

12. Cancellation by Business Clients

A Business Client may request cancellation by contacting A1Korbz in writing.

If cancellation occurs after work has begun, the Business Client must pay for:

  • Work completed up to the cancellation date
  • Time reasonably committed to the project
  • Any agreed milestones already completed
  • Non-recoverable costs reasonably incurred for the project

Any advance payment will be applied against these amounts. Where the advance payment exceeds the amount properly due, the balance will be refunded.

A1Korbz will not impose a cancellation charge greater than the reasonable loss and cost resulting from the cancellation.

13. Consumer Cancellation Rights

If you are a Consumer and the contract is concluded online, by email or otherwise at a distance, you may have a legal right to cancel the service contract within 14 days after the day on which the contract is entered into.

You may cancel by sending a clear statement to:

You do not need to provide a reason.

Starting Work During the Cancellation Period

If you want A1Korbz to begin work during the 14-day cancellation period, you must make an express request.

If you then cancel before the service is completed, you may be required to pay a proportionate amount for work properly performed before cancellation.

Once the service has been fully performed, the right to cancel may be lost where:

  • You expressly requested that work begin during the cancellation period; and
  • You acknowledged that the cancellation right would be lost once the service was fully performed.

These cancellation rights do not affect your rights where a service has not been carried out with reasonable care and skill or does not otherwise comply with applicable consumer law.

14. Cancellation by A1Korbz

A1Korbz may cancel or terminate a project where:

  • The Client materially breaches the agreement
  • An invoice remains overdue after reasonable notice
  • Required information is not supplied
  • Communication breaks down to the extent that the project cannot reasonably continue
  • Supplied material raises legal, ethical or rights-related concerns
  • Continuing the project would be unlawful
  • Illness or circumstances outside reasonable control prevent completion

Where A1Korbz cancels for reasons unrelated to a Client breach, the Client will receive a refund for paid work that has not been delivered.

Where cancellation results from a Client breach, A1Korbz may charge for work properly completed and reasonable costs already incurred.

15. Intellectual Property

15.1 A1Korbz Materials

A1Korbz retains ownership of:

  • Pre-existing templates
  • General production methods
  • Reusable code and commands
  • Document structures
  • Style systems
  • Technical processes
  • General know-how
  • Materials not created specifically for the Client

15.2 Bespoke Deliverables

Unless otherwise stated in the Project Agreement, copyright in original deliverables created by A1Korbz remains with Adrian Korban.

Once full payment has been received, the Client is granted a non-exclusive, non-transferable licence to use the deliverables for the purpose agreed in the Project Agreement.

15.3 Commercial and Publishing Rights

Rights for any of the following must be expressly agreed:

  • Commercial publication
  • Resale
  • Sublicensing
  • White-label use
  • Platform-wide distribution
  • Creation of derivative products
  • Exclusive use
  • Transfer or assignment of copyright
  • Use outside the originally agreed purpose

Any agreed commercial licence or copyright assignment should be recorded in the quotation, purchase order, commissioning agreement or another written document.

15.4 Source and Editable Files

LaTeX source, TikZ source, PGFPlots source, Word files, MathType files, templates and other editable materials are included only where stated in the Project Agreement.

Receipt of an editable file does not automatically transfer copyright or grant rights beyond the agreed licence.

15.5 Full Payment

No licence or transfer of rights takes effect until all amounts due for the relevant project have been paid in full.

16. Portfolio Use and Confidentiality

A1Korbz will not knowingly publish confidential Client materials or identify confidential projects without permission.

A1Korbz may ask for permission to display selected deliverables or anonymised extracts in a portfolio, website or promotional material. The Client is free to decline.

Confidentiality obligations stated in a separate non-disclosure agreement or commissioning contract will take priority where applicable.

General knowledge, skills and techniques developed through performing a project may be used in future work, provided confidential information and Client-owned material are not disclosed or reproduced unlawfully.

17. Mathematical and Subject-Specific Approval

A1Korbz will perform agreed services with reasonable care and skill.

Where mathematical review is expressly included, A1Korbz will apply appropriate mathematical expertise to the agreed scope. However, the Client remains responsible for final approval and suitability within its own publication, platform, curriculum, assessment or organisational process.

For scientific, engineering, financial, legal or regulated documents, A1Korbz provides mathematical, visual and document-production support only unless another role is expressly agreed.

The Client is responsible for obtaining approval from an appropriately qualified specialist where professional, regulatory, safety or technical sign-off is required.

18. Academic Integrity and Appropriate Use

A1Korbz may support authors, researchers, educators and students with legitimate typesetting, formatting, diagram and document-production work.

A1Korbz will not knowingly produce assessed academic work intended to be submitted dishonestly as the Client’s own or assist with plagiarism, fraud or other academic misconduct.

A1Korbz may decline a request where its intended use creates a reasonable ethical or integrity concern.

19. Third-Party Requirements

The Client is responsible for identifying any requirements imposed by:

  • Publishers
  • Examination boards
  • Awarding organisations
  • Universities
  • Platforms
  • Regulators
  • Employers
  • Other third parties

A1Korbz will follow requirements supplied and agreed as part of the brief but cannot guarantee acceptance by a third party whose decision-making is outside A1Korbz’s control.

20. File Compatibility and Retention

A1Korbz will provide the output formats agreed in the Project Agreement.

The Client is responsible for confirming any required software versions, platform restrictions or technical specifications before work begins.

Differences in fonts, software, packages, operating systems or third-party applications may affect how editable files display or compile.

Completed source files and deliverables are normally retained for up to three years after final delivery, in accordance with the Privacy Policy. This retention period is not a substitute for the Client maintaining its own secure backups.

The Client should download, inspect and safely store all delivered files.

21. Limitation of Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability for:

  • Death or personal injury caused by negligence
  • Fraud or fraudulent misrepresentation
  • A Consumer’s statutory rights
  • Any liability that cannot legally be excluded or limited

21.1 Consumers

If the Client is a Consumer, A1Korbz is responsible for foreseeable loss or damage caused by a failure to comply with the agreement or to use reasonable care and skill.

A1Korbz is not responsible for business losses suffered by a Consumer where the service was commissioned wholly or mainly for private purposes.

21.2 Business Clients

For Business Clients, A1Korbz will not be liable for indirect or consequential loss, loss of profit, loss of revenue, loss of opportunity, loss of anticipated savings or loss arising from a third-party decision, except where such liability cannot legally be excluded.

Subject to the exceptions above, A1Korbz’s total liability to a Business Client arising from a project will not exceed the total fees paid or payable for that project.

The Client is responsible for maintaining appropriate backups and for reviewing deliverables before publication, distribution or operational use.

22. Events Outside Reasonable Control

Neither party will be responsible for delay or failure caused by events genuinely outside its reasonable control.

These may include serious illness, widespread service disruption, loss of essential utilities, cyber incidents, natural events, government action or failure of a critical third-party service.

The affected party should communicate the problem promptly and take reasonable steps to reduce its impact.

If the project cannot reasonably continue, the parties will discuss rescheduling, partial delivery or cancellation and an appropriate adjustment of fees.

23. Data Protection

Personal information is handled in accordance with the A1Korbz Privacy Policy.

The Client should not provide unnecessary personal, confidential or sensitive information.

If a project requires A1Korbz to process personal information on behalf of an organisation, additional data-protection terms may be required before work begins.

24. Complaints

If you are dissatisfied with a service, please contact A1Korbz promptly and explain:

  • The project concerned
  • The issue identified
  • The outcome you are seeking

A1Korbz will review the matter and attempt to resolve it fairly and within a reasonable time.

Nothing in this section affects a Consumer’s statutory rights.

25. Ending the Agreement for Breach

Either party may end the agreement by written notice if the other party commits a serious breach and, where the breach can be remedied, fails to remedy it within a reasonable period after being asked to do so.

Ending the agreement does not remove rights, payment obligations or liabilities that arose before termination.

Terms relating to payment, intellectual property, confidentiality, liability, data protection and governing law continue where necessary after the agreement ends.

26. Changes to These Terms

A1Korbz may update these Terms & Conditions from time to time.

Changes will not retrospectively alter an already confirmed project unless both parties agree in writing.

The version applying to a project will normally be the version available when the project is confirmed, together with the relevant Project Agreement.

27. Governing Law and Jurisdiction

These Terms and any Project Agreement are governed by the law of England and Wales.

If the Client is a Business Client, the courts of England and Wales will have exclusive jurisdiction unless another arrangement is agreed in writing.

If the Client is a Consumer living elsewhere in the United Kingdom, nothing in these Terms removes any mandatory protection or right to bring proceedings in the courts available under applicable consumer law.

28. General Terms

If any provision of these Terms is found to be unlawful or unenforceable, the remaining provisions will continue to apply.

A failure or delay in enforcing a right does not waive that right.

No person other than the Client and A1Korbz has a right to enforce the agreement unless expressly agreed.

Neither party may transfer the agreement without the other party’s written consent, except where permitted by law or expressly agreed.

If you are a Consumer and wish to cancel during an applicable cancellation period, you may send the following information by email. You do not have to use this wording as long as your decision to cancel is clear.
